01. Application of these terms

These Terms and Conditions of Sale govern all quotations, orders, and sales of products and services by RLD to a customer ("you" or "Buyer"). By requesting a quotation or placing an order, you accept these Terms. They apply in place of any conflicting terms in your purchasing documents unless we agree otherwise in a signed writing.

02. Quotations and orders

Quotations are invitations to do business and are valid for the period stated on the quotation, or for thirty (30) days if no period is stated, and may be withdrawn or revised before acceptance. An order is binding only when we confirm it in writing. Prices, availability, and lead times are not guaranteed until an order is confirmed.

03. Prices

Prices are quoted in the currency stated on the quotation and exclude taxes, duties, tariffs, brokerage, freight, insurance, and other charges unless expressly stated. Because we source from manufacturers in Germany and across Europe, prices may reflect exchange rates, supplier pricing, and import costs at the time of quotation, and may be adjusted if those costs change before an order is confirmed.

04. Payment terms

Payment terms are as stated on the quotation or invoice. Unless otherwise agreed, a deposit or prepayment may be required for sourced or special-order items. Overdue amounts may accrue interest at the lower of 1.5 percent per month or the maximum rate permitted by law, and you are responsible for reasonable costs of collection, including attorney fees.

05. Sourcing and lead times

Many products are sourced to order from third-party manufacturers and suppliers. Lead times are estimates based on supplier information and are not guaranteed. We are not liable for delays caused by suppliers, carriers, customs, or other events beyond our reasonable control.

06. Import, customs, duties, and Incoterms

Unless otherwise agreed in writing, shipping and delivery terms follow the Incoterms specified on the quotation or order confirmation. You are responsible for import duties, tariffs, taxes, customs clearance, and any charges allocated to the Buyer under the applicable Incoterm. You agree to provide any information reasonably needed for import and export documentation.

07. Delivery, title, and risk of loss

Delivery and transfer of risk occur as specified by the applicable Incoterm, or, if none is specified, upon delivery to the carrier. Title passes to you upon our receipt of payment in full. You should inspect goods on receipt and report any shortage, damage, or nonconformity within a reasonable time, and no later than any period stated on the invoice.

08. Part identification and compatibility

We identify parts by OEM, model, serial, and part number based on the information you provide. You are responsible for confirming that the part identified, quoted, or supplied is correct and suitable for your equipment and application. OEM names are used for identification and compatibility only. RLD is not an authorized distributor or agent of any manufacturer unless confirmed in writing for a specific transaction.

09. Returns and cancellations

Orders for sourced, imported, custom, or special-order items may not be cancellable or returnable once placed. Where a return is accepted, it requires a return authorization, the goods must be in original condition, and it may be subject to restocking, freight, and import charges. Non-stock and special-order items are generally final sale.

10. Warranties

Where a manufacturer warranty applies, we pass that warranty through to you to the extent we are permitted to do so. Except for any manufacturer warranty and any warranty we expressly agree to in writing, and to the fullest extent permitted by law, RLD disclaims all warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose.

11. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim arising out of a sale will not exceed the amount you paid for the specific product giving rise to the claim. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for downtime, lost production, lost profits, or lost business.

12. Indemnification

You agree to indemnify and hold harmless RLD from claims and expenses arising out of your use, installation, or resale of products, your provision of inaccurate part or equipment information, or your breach of these Terms.

13. Export controls and sanctions

Products sourced from Germany and Europe and delivered across North America may be subject to the export control and sanctions laws of the United States, the European Union, and other jurisdictions. You agree to comply with all applicable export, import, and sanctions laws, and not to divert, re-export, or use products in violation of those laws.

14. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including supplier or manufacturer delays, material shortages, labor disputes, transportation or customs delays, currency or trade restrictions, acts of government, natural events, or other force majeure.

15. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in North Carolina.

16. General

These Terms, together with our quotation and order confirmation, form the entire agreement for the sale and supersede prior discussions. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign an order without our written consent.
